Position Summary:

EVgo is seeking a Senior Director, Legal who is responsible for leading public company reporting, and managing corporate governance of EVgo and its subsidiaries. As a leader on EVgo’s Legal team, you will provide counsel in connection with a range of corporate activities and transactions, including financing arrangements, capital markets, employee securities other strategies. The Senior Director, Legal will also provide legal advice and support with respect to stock plans, investor relations, shareholder outreach and governance matters, policies, and procedures. Reporting to the Chief Legal Officer and General Counsel you will work directly with, and provide advice to, Senior Management and the Board of Directors on key corporate legal issues that drive business growth.

Responsibilities:

  • Counsel on a wide range of securities law and capital markets matters, including ’34 Act compliance, corporate governance trends, stock exchange rules, and other reporting requirements.
  • Collaborate with Finance, Investor Relations, Human Resources, and Communications teams on external communications, such as earnings releases and press releases.
  • Assist with corporate secretarial matters, working closely with the Board.
  • Participate in M&A, financings, and other strategic transactions.
  • Ensuring compliance with and collaborating with team members to draft disclosures required by SEC and Nasdaq (e.g., 10-Ks, 10-Qs, 8-Ks, Proxy Statements, and Section 16 filings).
  • Create and oversee relevant company policies and processes for compliance and risk management, including with respect to insider trading, related party transactions, stock ownership, and conflicts of interest, among other things.
  • Provide practical legal advice and support on a variety of topics, including corporate structure, marketing campaigns, and litigation.
  • Liaise and manage external counsel as appropriate.

Required Skills and Experience:

  • Graduate of a law school accredited by the American Bar Association(J.D.).
  • A minimum of 5 years of experience; a combination of law firm and in-house experience is preferable.
  • Admitted to and in good standing to California State Bar.
  • Proven experience with various capital markets matters, including IPOs, and ’34 act reporting.
  • Familiarity with executive and share-based compensation matters is a plus.
  • Strong management skills with the ability to lead diverse groups of stakeholders and corporate and securities matters.
  • Flexibility and creativity in solving problems and dealing with ambiguity.
  • Excellent interpersonal, written, and oral communication skills, and strong business judgment.
  • Organized and diligent with high attention to detail and a commitment to operational execution.
  • Works well with others and interacts comfortably with associates across departments and job levels.
  • Ability to develop trust-based and collaborative negotiating and working relationships with internal and external stakeholders.
