Vector Solutions is currently hiring an Associate General Counsel to join the Vector Solutions team! This position reports to the Chief Legal and Compliance Officer. The AGC will provide creative and practical counsel on a wide range of legal, corporate compliance, management and business matters involving the Vector group of companies. The incumbent must have experience in counselling senior business executives and business partners offering legal advice. In this connection, job will require: working closely with operational managers as well as finance, sales, human resources and other personnel management and a network of outside legal counsel; and business travel.

ESSENTIAL FUNCTIONS AND RESPONSIBILITIES

  • Corporate and securities transactions, including M&A, joint ventures, strategic investing and private/public debt and equity financing. Transactions both domestic and cross border.
  • Negotiating and drafting customer and vendor agreements and other commercial agreements, including inbound and outbound content and software licenses; master license agreements and master service agreements.
  • Employment matters, including drafting and negotiating terms of employment (including restrictive covenants), employee compensation matters (including equity compensation), employee policies and procedures and managing employee disputes.
  • Intellectual property matters, including copyrights, trademarks and trade secrets.
  • Corporate and securities law matters, including corporate governance and SOX compliance, public company disclosure issues, and drafting and administering employee long-term incentive plans.
  • Ensure the quality and timeliness of legal advice to internal business clients and senior management on a broad range of legal, business and management matters

SUPERVISORY RESPONSIBILITIES

  • This position does not have any supervisory responsibilities.

EDUCATION AND EXPERIENCE

  • 8 – 10 years’ experience as an attorney in a corporate law firm, operating company, or both
  • Experience in most of the following areas

  • Experience advising listed companies. Experience with companies delivering content, technology, software / SaaS to private and public customers, including federal, state and municipal governments.
  • Management experience, including working collaboratively with senior management, managing in-house legal staff, and managing outside counsel
  • Experience developing legal department budgets and managing operations and performance in compliance with budget
  • Solid judgment and business acumen and understanding of business operations and corporate governance issues
  • Ability to work directly with and gain the confidence of senior management
  • Demonstrated ability to make and stick with tough and potentially unpopular decisions
  • Law degree from accredited university
  • Member in good standing of the Florida Bar
